JPJ agrees £490m Gamesys acquisition - 13th June 2019




JPJ Group has entered into a conditional agreement to acquire the majority of its technology partner Gamesys’ assets for a total consideration of £490m (€549.8m/$620.9m).
The deal will see JPJ acquire the Gamesys platform, and bingo content studio, as well as its B2C real-money gaming sites Virgin Games, Heart Bingo and Monopoly Casino. The deal will also see JPJ take charge of Gamesys’ New Jersey-licensed Virgin Casino site, operated in partnership with Tropicana.
Since acquiring Gamesys’ Jackpotjoy brands in 2015, the business has continued to provide JPJ Group with igaming content, its technology platform and operational support. Through the acquisition, JPJ will take ownership of the technology platform and operations, reducing its reliance on third party providers.
Originally it had planned to onboard operational staff from Gamesys, but noted that this could have left both companies separate, and potentially pursuing conflicting strategies.
“The acquisition ensures full strategic alignment, business continuity and minimisation of execution risk,” JPJ explained.
The London-listed operator will not acquire the Virgin Bet sports betting business, nor the recently acquired Livescore sports data and media business. Gamesys will also retain its non-bingo games studio, and its minority equity investments in a Norwegian games studio and US sports betting business, as well as certain immaterial subsidiaries.
In order to go ahead with the deal, Gamesys will carry out a restructuring to separate the assets to be acquired from the business units it will retain.
Upon completion of the deal, JPJ will pay £240m in cash, with a further £10m to be paid to Gamesys shareholders 30 months after the deal’s completion.
It will also issue 33.7m new shares to Gamesys shareholders, priced at 10 pence per share, with an approximate value of £240m.
"This acquisition marks an important transformational step in JPJ's growth, providing significant benefits for shareholders, employees and customers,” JPJ executive chairman Neil Goulden commented.
“For shareholders, we expect the acquisition to deliver earnings accretion in the first full financial year of ownership, while our employees will benefit from the combination of two companies with a strong commitment to responsible gaming and where the greater scale will further enhance our product development and technology capabilities.
“Our customers will also now have an even greater choice of major brands and different games, all on one platform, creating a truly leading UK and international operator,” he added.
JPJ also highlighted the enlarged business’ commitment to responsible gambling, committing to developing and implementing measures to protect customers from gambling-related harm.
The new business (the Enlarged Group) is expected to achieve annualised cost savings in the “single-digit millions”, which will be released in the first full financial year following the deal’s completion. JPJ will also benefit from a significant UK-based infrastructure, allowing it to streamline elements of its current business.
It also expects to benefit from the expertise of staff that will transfer to JPJ through the deal. These will include Gamesys chief executive Lee Feldman, who will become CEO of the enlarged business, and chief operating officer Robeson Reeves, who will take on the same role for JPJ.
Executive chairman Goulden and finance chief Keith Laslop will remain in their current roles. Simon Wykes, CEO of the operator’s Jackpotjoy Operations subsidiary, will assume the role of transition director for a 12-month period following the deal’s completion.

“The Enlarged Group's combined brand portfolio, strategically aligned operating structure, technology capabilities and exceptional combined talent base will create significant opportunities for growth in the market.”
For the nine months ended December 31, 2018, the Gamesys assets to be acquired generated revenue of £223.1m, up 12.2% year-on-year. This was derived predominantly from gaming, which accounted for £139.7m of the total, with £83.4m generated from the provision of support services.
Once costs and expenses of £180.0m (up 7.0% year-on-year) were stripped out, and finance related costs removed, the business posted a profit of £49.4m for the period, down marginally from £50.3m for the first nine months of 2017.
As of December 31, 2018, it had an average of 239,400 active monthly customers, generating an average of £64 per player per month.
The acquisition, which is subject to customary closing conditions, is expected to be completed in the third quarter of the year.

Turkish government launches sports betting tender - 11th January 2018

The Turkish government is accepting proposals from bidders for a new contract to power sports betting for state-owned gaming operator SportToto.
The tender is seeking applicants capable of providing a central wagering system and risk management solution for fixed-odds and pari-mutuel betting on sporting events.
To secure the ten-year contract, applicants must be able to demonstrate that they have experience of running a sports betting network of at least 500 outlets, with at least 6,000 to be operated throughout Turkey.
They will be required to establish the central betting system within Ankara Province, while the risk management centre must also be based on Turkish soil. The successful applicant will also be expected to employ at least 100 staff dedicated to the SporToto project, including management and technical support staff.
Bids are to be filed in the form of proposed revenue share agreements, which state what percentage of total revenue raised the applicant is willing to receive in return for operating the fixed-odds betting product.
In total, the Turkish government aims to generate 17bn Lira (£2.4bn/€2.7bn/$3.1bn) in revenue from the offering’s first year in operation.
However, companies will not be permitted to form consortiums when applying for the tender, though bids from joint venture companies will be accepted. This means the current operator of SporToto’s Iddaa-branded sports betting offering, the Inteltek joint venture of Intralot and local telecommunications giant Turkcell, will be able to make a bid.
Inteltek, established in 2001, has served as the exclusive provider of fixed-odds and pari-mutuel betting since 2004, and secured a new, ten-year contract in 2008. It then extended the deal by a year in August 2018. Over the past 11 years, SporToto has seen its share of the country's sports betting market grow to 56%, with turnover rising to $3.5bn.
Last year Inteltek announced that it was to establish a software development hub in Turkey, with a focus on developing new mobile wagering products and services, employing more than 100 staff in the new facility.
Bidders have until 09:30 AM on February 11, 2019 to submit their proposals to SporToto.
SporToto is one of only two legal gambling operators in Turkey, alongside national lottery operator Millî Piyango İdaresi.

Madison Square Garden eyes sports betting move - 11th January 2019

The parent company of New York’s Madison Square Garden (MSG) could be set to move into the sports betting market after applying to trademark its MSG brand for sports wagering purposes.
Madison Square Garden Company - which operates MSG, as well as sports and entertainment venues in Los Angeles and yet-to-be-completed venues in Las Vegas and London, plus a number of sports franchises - has filed an application with the United States Patent and Trademark Office referencing the use of the MSG brand across online, mobile and social media.
The filing requests the MSG brand be trademarked for downloadable mobile applications for sports wagering, as well as organising, arranging, conducting and participating in sports wagering tournaments, providing information related to sports bets, and competitions and contests.
MSG also requests that the mobile section of the trademark covers fantasy sports contests, managing and participating in fantasy sports leagues, and for providing sports and esports programming, news, previews, alerts, replays, video clips, web cam feeds and information.
The application also references the use of the MSG trademark for the provision of betting and online gambling services, with a view to arranging and conducting interactive peer-to-peer gambling competitions and interactive real-time gambling under the brand.
In addition, MSG makes specific reference to social media, saying that the trademark would apply to social networking in the field of gaming, provided via a website and web-based services.
However, the application does not feature any language related to land-based betting or in-venue gambling at the arena. MSG is home to a number of major league sports teams including NHL ice hockey team the New York Rangers and NBA basketball franchise the New York Knicks.
MSG is yet to respond to a request for comment from iGamingBusiness.com.
New York is yet to legalise sports betting, but Senator Joseph Addabbo last month pre-filed a bill setting out a regulatory framework for land-based, online and mobile sports betting across the state, to be debated in the 2019 legislative session. Addabbo followed this by filing a separate bill to legalise online poker in New York earlier this week.
Both bills have been allocated to the Racing, Gaming and Wagering Committee.

The Avengers has smashed through the $US1 billion mark in global box office earnings, official numbers demonstrate without doubt.

The comic book superhero blockbuster movie made $US103.1 million over the weekend in North America, following its $US207 million opening weekend - the highest-earning debut on record.

Globally, the Disney action adventure movie, directed by cult favourite Joss Whedon in collaboration with Marvel Comics, has made $US1,002,082,000, according to movie industry website IMDb.

The mega success of the movie - produced for an estimated $US220 million - will help offset Disney's huge $US200 million loss on sci-fi fantasy film John Carter in March, which acted as a catalyst for the departure of Walt Disney Studios boss Rich Ross.

The Avengers focuses on a superhero tag team including Iron Man, The Incredible Hulk, Captain America and Thor.

A sequel to superhero blockbuster The Avengers has been officially greenlighted after Joss Whedon's film brought in a massive $700m at the global box office in just two weeks.

Disney chief executive Bob Iger made the announcement as the studio admitted that its earnings for the first quarter of 2012 dropped 12% to $1.2bn compared to the same period last year. The film unit's $84m operating loss for the quarter was blamed largely on the box-office failure of $275m fantasy epic John Carter earlier this year.

Iger also confirmed that Iron Man 3, Thor 2 (both set for 2013) and Captain America 2 (due in 2014) will all be heading to cinemas through Marvel studios, which Disney bought for $4bn in 2009. He did not give a date or other details for the sequel to The Avengers (known as Avengers Assemble in the UK).

Meanwhile it has been revealed that The Avengers helped boost revenues for the $220m film via product placement for at least 18 companies. The luxury car manufacturer Acura was most prominent, having secured a multi-picture deal with Marvel, according to brand website portal Brand Channel. The company developed a special supercar especially for the movie, Tony Stark's NX Roadster, and also provided a number of other vehicles for key scenes. Other featured brands included ABC, aussieBum, Bose, CNN, Dr Pepper, Harley-Davidson and Southwest Airlines.

The Hollywood Reporter revealed that British actor Rebecca Hall is in talks to appear opposite Robert Downey Jr in Iron Man 3, following Jessica Chastain's decision to pass on the film due to scheduling issues. Shane Black, director of Kiss Kiss, Bang Bang, will take the reins on the third instalment.


The Avengers video game in the works...

Now that they've saved the world on film, The Avengers are teaming up for a motion-control video game.

Ubisoft Entertainment have announced a partnership with Marvel Entertainment to create a game based on the popular Marvel superhero posse. The game will be titled Marvel Avengers: Battle for Earth and will be released for both the upcoming Wii U console from Nintendo Co. and the camera-based Kinect system for the Xbox 360 from Microsoft.

"The idea that we're making a motion-control version of The Avengers is a unique proposition if you compare that to superhero games of the past," said Tony Key, Ubisoft's vice president of sales and marketing.

"This is the perfect type of game for that because these characters are very action oriented. They're always fighting and throwing things."

Marvel Avengers: Battle for Earth will focus on such characters as Captain America, Iron Man, Thor and the Hulk fending off an invasion of genetically altered Skrull aliens. The title will feature more than 20 characters from the Marvel universe and would be based on the Secret Invasion comic series, not the recent film.

No release date was announced, but Key said the disc-based title is expected to launch after Nintendo debuts the Wii U later this year. The successor to Nintendo's Wii will feature high-definition graphics, increased online capabilities and a touch-pad controller. He said more details about the game would be unveiled at next month's Electronic Entertainment Expo.

The game will be the latest addition to Ubisoft's motion-control arsenal. Previous titles released by the Canadian publisher that rely on gesture-based devices include the artsy shooter Child of Eden, street brawler Fighters Uncaged, superhero dueler PowerUp Heroes, the Your Shape fitness franchise and top-selling Just Dance series.

Marvel Avengers: Battle for Earth will mark the first time that the Assassin's Creed publisher has developed a game based on a franchise from Marvel, which was purchased in 2009 by The Walt Disney. The developers previously worked with Avatar director James Cameron to craft a third-person 3D action-adventure game set on the planet Pandora.

Sega created each of the games pegged to the films of The Avengers forerunners, including last year's Thor: God of Thunder and Captain America: Super Soldier, but there was no console game released this year alongside director Joss Whedon's blockbuster The Avengers, just the mobile game Marvel's The Avengers and Facebook title "Marvel: Avengers Alliance."

Fans freaked out last year over unofficial footage and concept art posted online of a first-person Avengers game that was reportedly in development by THQ. The footage of Iron Man, the Hulk, Captain America and Thor battling the infamous Skrull was yanked by Marvel from YouTube. A representative for Marvel declined to be interviewed for this story.

Traditionally, games based on Marvel movies have been released around the same time as their super-powered counterparts to benefit from parallel buzz. The open-world action-adventure title The Amazing Spider-Man from Activision. is set for release June 26, ahead of director Marc Webb's film of the same name on July 3.

The big-screen adaptation of The Avengers starring Robert Downey Jr. as Iron Man, Chris Evans as Captain America, Chris Hemsworth as Thor, Mark Ruffalo as the Hulk, Scarlett Johansson as Black Widow and Jeremy Renner as Hawkeye has smashed box office records, earning $US207.4 million in the US in its opening weekend.

"For us, that obviously raises the brand itself to an even higher level, and that's good for our video game because we have an opportunity to reach a broader audience than just the guys who love comic book characters," said Key, who added that Marvel Avengers: Battle for Earth would be family friendly despite the game's focus on fighting.

Marvel's superheroes have been a dominant presence throughout the history of games. They most recently assembled for the Capcom brawler "Ultimate Marvel vs. Capcom 3" and the Activision role-playing sequel Marvel: Ultimate Alliance 2.
